This Event Agreement ("Agreement") confirms that you and the host company, organization or group noted above (“Host”) agree to hold a private fundraising event ("Event") that features a screening of the ID8 produced documentary, "Shaka, A Story of Aloha" ("Film") for the purposes of raising funding to support the finishing and promotion of the Film including its parent movement, Project Shaka, a program of ID8, a Hawai’i 501(C)(3) nonprofit organization ("ID8").

ID8 agrees to provide viewing access at the Event for Hostʻs guests to view the Film for donation discussion and evaluation purposes. ID8 agrees to provide at least one ID8 representative at the Event to provide the Film (via jump drive to laptop to HDMI out to Hostʻs projection screen) and answer questions on the Film, Project Shaka and the ID8 organization.

ID8 also agrees to provide electronic invitation art suitable for email and text transmission by Host. ID8 also agrees to provide printed Donor Cards with QR code, check writing info, mailing address and a list of current budget items being sought.

Host agrees to provide a suitable private screening environment and location with adequate projection and sound for guests to view the Film. Host further agrees that the event will be promoted only as a Donor Screening Event and not as a "premiere", "sneak-peek", or public event as such billings may adversely affect the future distribution of the Film. Host further agrees that the Film is shown entirely free, i.e. with no ticket price or fees, so as not to be characterized as a commercial distribution of the Film.

Host does however have the option to conduct separate activities to support the Film and Project Shaka including the sale of products, raffles and silent auctions. Host agrees that any sales or donation activity must inure to the benefit of the Film and Project Shaka.

Host has the option to provide food, beverage or other additions to the Event.

For Events on the island of Oahu, there are no travel and lodging costs by ID8. For Event locations other than Oahu, Host agrees to provide and pay for travel and lodging expenses for ID8 representatives to attend.

You warrant and represent that you are an authorized representative of the Host with the authority to bind the Host, and that the consent of no other person or entity is required.

Host agrees to indemnify and hold harmless ID8 and its past, present and future Board members, officers, employees, agents, producers, distributors, contractors, agents, partners, licensees, successors and/or assignees from and against any and all claims, suits, actions, damages, liabilities, costs and expenses, including reasonable outside counsel fees, which may arise from the Event.

This Agreement constitutes the entire agreement between the parties with respect to the subject matter herein, supersedes any prior correspondence or agreements (whether written or oral) with respect to such subject matter, and shall be amended only by a written document signed by both parties.
